Software License Agreement

1. Definitions

• "Item" refers to the source code, software, and digital assets purchased from Coderstm.
• "End Product" refers to a finalized application or customized implementation governed by the Item, which is created for a specific purpose (e.g., a gym management portal).
• "End User" refers to the final user of the End Product (e.g., a gym member or gym staff).

2. License Grant

We grant you a non-exclusive, non-transferable, revocable, worldwide license to use the Item (including any custom modifications or developments provided by us as part of a service agreement) pursuant to the specific license purchased (Regular or Extended).

3. License Validation & Anti-Tampering

• Mandatory Validation: The Item is protected by a license verification system that ensures compliance with this Agreement. You explicitly agree to keep this validation mechanism intact and functioning.
• Data Collection for Enforcement: You acknowledge and consent that the software automatically transmits specific data to our servers strictly for license validation purposes. This data includes:
  • Server IP Address
  • Domain Name / Installation URL
  • Installation Path
• Anti-Nulling / Anti-Tampering: You are strictly prohibited from:
  • Bypassing, disabling, or modifying the license verification code.
  • Reverse engineering, decompiling, or attempting to derive the source code of the verification system.
  • Using "nulled" or cracked versions of the Item.
• Zero Tolerance Policy: Any attempt to tamper with the license validation logic is considered a malicious breach of this Agreement.
  Consequence: Your license will be terminated immediately and permanently without notice or refund. We reserve the right to pursue legal action for copyright infringement and damages.

4. Restrictions (Universal)

For both license types, the following actions are strictly prohibited and constitute a material breach of this Agreement:

• No Resale ("Redistribution"): You strictly prohibited from selling, licensing, sublicensing, or distributing the source code, in whole or in part, on any marketplace (e.g., CodeCanyon, Gumroad) or as a standalone product.
• No "White-Label" Reselling: You may not re-brand the source code package and sell it to other agencies or developers. You may only sell the functioning End Product (service) to end users.
• Single Domain Usage: Each license is valid for only one production installation. Multiple installations require multiple licenses.

5. Intellectual Property & Ownership

This Agreement grants you a license to use the Software, not ownership of the Software itself. All rights, title, and interest in and to the Item, including intellectual property rights, remain exclusively with Coderstm.

6. Limited Warranty & Liability

"As Is" Basis: The Item is provided on an "as is" and "as available" basis. Coderstm makes no warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability or fitness for a particular purpose.

Limitation of Liability: To the maximum extent permitted by applicable law (including the Indian Contract Act, 1872), Coderstm’s total liability shall not exceed the amount you paid for the Item. In no event shall we be liable for any indirect, incidental, special, or consequential damages (including loss of data or profits).

7. Termination

We may terminate this Agreement immediately if you breach any of its terms (e.g., unauthorized resale). Upon termination, you must cease all use of the Item and destroy all copies in your possession.

8. Indemnification

You agree to indemnify, defend, and hold harmless Coderstm, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of the Item or any End Product created using the Item;
• Your violation of this Agreement or any applicable law;
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights;
• Any claim that your End Product infringes the rights of a third party;
• Any damages or losses caused by your End Product to End Users or third parties.

This indemnification obligation shall survive the termination of this Agreement.

9. Governing Law & Dispute Resolution

This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of India (specifically the Information Technology Act, 2000 and Indian Contract Act, 1872).

Jurisdiction: Any legal action or proceeding shall be instituted exclusively in the Barrackpore Sub-Divisional Court in North 24 Parganas, and you consent to the jurisdiction of such courts.
