Acceptance of Terms

By accessing, downloading, purchasing, or using the services, websites, software, and applications provided by Coderstm ("we," "us," or "our") (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

Description of Services

Coderstm provides software solutions through two distinct models:

1. Hosted Services (SaaS)

• Model: Recurring subscription (Monthly/Yearly).
• Infrastructure: Managed by Coderstm (Hosting, Updates, Backups).
• Support: Continuous support while subscription is active.
• Refunds: 30-day money-back guarantee.

Note on Taxes: All fees are exclusive of taxes (such as GST, VAT, or sales tax). You are responsible for paying all taxes associated with your purchase based on your local regulations.

2. Source Code Licenses (Self-Hosted)

We offer source code licenses for customers who wish to host the software themselves. Usage of these products is strictly governed by our License Agreement.

• Regular License: For personal or internal business use. You cannot charge end users for access.
• Extended License: For commercial/SaaS use. You can charge end users for access.

Both licenses are for a Single Domain only unless otherwise agreed.

3. App Customization & Installation Services

• Installation Services: Professional setup of our software on your compliant server.
• App Customization: Modifying the design, functionality, or integration aspects of the software to meet your specific business requirements.
• Ownership: Customizations performed by us remain licensed as an extension of the base software unless a specific intellectual property transfer is signed.

Refund Policy

Hosted Services (SaaS)

We offer a 30-day money-back guarantee for our Hosted Services. If you are not satisfied with the service within the first 30 days of your initial subscription, you may request a full refund.

Source Code Licenses (Regular & Extended)

Review Carefully: Source Code licenses are NON-REFUNDABLE.

Since the source code is a digital product that cannot be "returned," all sales of Regular and Extended licenses are final. We do not offer refunds, exchanges, or chargebacks for these products once the purchase is completed and access has been granted.

Customization & Installation Services

Fees for installation and customization services are NON-REFUNDABLE once the service has commenced. In the event of a cancellation before work has started, a partial refund may be issued at our sole discretion, minus any administrative or processing fees.

License Usage & Restrictions

You CAN:

• Install the software on one production domain.
• Modify the source code for your specific needs.
• Use the software for a commercial SaaS business (Only with Extended License).

You CANNOT:

• Resell, redistribute, or share the source code itself on any marketplace or website.
• Install the software on multiple domains without purchasing additional licenses.
• Remove our license verification mechanisms.

Support Policy

Hosted Services

Support is included as long as your subscription is active.

Source Code Licenses

Includes complete technical support and updates for 6 months from the date of purchase. Support covers the unmodified core software only.

Disclaimer of Warranties & Limitation of Liability

Important Notice regarding Hosted Services:

While Coderstm implements industry-standard backup and security measures for our Hosted Services, we cannot guarantee absolute immunity from data loss due to unforeseen circumstances.

Force Majeure & Data Loss: Coderstm shall not be held liable or responsible for any loss of data, service interruption, or business impact caused by events beyond our reasonable control ("Force Majeure"), including but not limited to:

• Acts of God (natural disasters, fires, floods, earthquakes).
• Cyber-attacks, DDoS attacks, or ransomware beyond reasonable security prevention.
• Data center failures or major infrastructure outages.
• War, terrorism, or government actions.

In the event of such a disaster, while we will attempt to restore services from the latest available backups, we provide no warranty or compensation for lost data. Users are encouraged to maintain their own local records of critical business information.

Global Compliance & Export Control

You agree to comply with all applicable import/export laws and regulations. You represent that you are not located in a country subject to a government embargo, or that has been designated by any government as a "terrorist supporting" country, and that you are not listed on any prohibited or restricted parties list.

Governing Law

These Terms shall be governed by the laws of India, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the Barrackpore Sub-Divisional Court in North 24 Parganas.

Account Termination

We reserve the right to suspend or terminate your account and access to our Services at our sole discretion, without prior notice or liability, for conduct that we determine:

• Violates these Terms, our License Agreement, or any applicable law;
• Is harmful to other users, third parties, or our business interests;
• Involves fraudulent payment activity, chargebacks, or abuse of refund policies;
• Involves harassment or abuse of our support staff;
• Involves any attempt to circumvent our license verification systems.

Effect of Termination:

• Hosted Services: Upon termination, your right to use the Services will immediately cease. We may delete your account data after 30 days. You are not entitled to a refund for any remaining subscription period.
• Source Code Licenses: Termination of your license does not entitle you to a refund. You must cease all use of the Item and destroy all copies.
